This Seller Agreement ("Agreement") governs your participation as a seller on the Dracos marketplace.

By applying to become a seller, accepting seller status, uploading a product, listing a product for sale, or completing a sale through Dracos, you agree to this Seller Agreement, the Dracos Terms of Service, Privacy Policy, Refund Policy, Copyright & Intellectual Property Policy, and other applicable platform policies.

If you do not agree to this Agreement, you must not sell products through Dracos.


1. About Dracos

Dracos is a digital marketplace that enables independent creators, educators, developers, professionals, businesses, and other authorized sellers to offer digital products and resources to buyers.

Products may include:

  • Ebooks;
  • Educational resources;
  • Study materials;
  • Past questions and solutions;
  • Templates;
  • Business resources;
  • Career resources;
  • Programming resources;
  • Cybersecurity resources;
  • Courses;
  • Software;
  • Digital documents;
  • AI prompt packs;
  • Digital media;
  • Bundles;
  • Other eligible digital products.

Dracos provides the marketplace infrastructure for product discovery, purchasing, payment processing, digital delivery, seller management, and related services.


2. Seller Eligibility

To become a seller, you must:

  • Provide accurate account information;
  • Meet applicable age and legal requirements;
  • Complete any required seller verification;
  • Provide valid payout information;
  • Have the legal right to sell the products you list;
  • Agree to comply with applicable laws;
  • Comply with Dracos policies.

Dracos may approve or reject seller applications at its discretion, subject to applicable law.

Seller approval does not constitute an endorsement of the seller or their products.


3. Seller Account

You are responsible for all activity conducted through your seller account.

You must:

  • Keep your account credentials secure;
  • Provide accurate information;
  • Keep your seller profile current;
  • Maintain valid payout information;
  • Notify Dracos if your account has been compromised;
  • Not share your seller account with unauthorized persons.

You may not create multiple seller accounts to circumvent restrictions, suspensions, fees, limits, or other platform controls.


4. Seller Verification

Dracos may require sellers to provide information necessary to verify their identity, business, payment information, or eligibility.

Verification may be required before:

  • Publishing products;
  • Receiving seller payouts;
  • Increasing selling limits;
  • Accessing certain seller features.

Dracos may suspend withdrawals or seller functionality while required verification is incomplete.


5. Products You May Sell

Sellers may list digital products that:

  • They created;
  • They own;
  • They have a valid license to distribute;
  • They are otherwise legally authorized to sell.

Products must comply with applicable law and Dracos policies.

Dracos may establish additional requirements for particular product categories.


6. Intellectual Property Ownership

You retain ownership of intellectual property that you lawfully own in your products.

By uploading a product, you confirm that you have the necessary rights to:

  • Use the product;
  • Sell or distribute the product;
  • Upload the product to Dracos;
  • Grant Dracos the license described in this Agreement.

You must not upload material that belongs to another person or organization unless you have appropriate authorization or another lawful basis to distribute it.


7. Seller Intellectual Property License to Dracos

You grant Dracos a non-exclusive, worldwide, royalty-free license to use, store, reproduce, display, process, distribute, and technically modify your Seller Content as reasonably necessary to operate the marketplace.

This includes the right to:

  • Host product files;
  • Display product listings;
  • Generate thumbnails and previews;
  • Deliver products to buyers;
  • Process downloads;
  • Advertise your products on Dracos;
  • Display your seller profile;
  • Create promotional materials using product information;
  • Maintain backups;
  • Detect fraud and abuse;
  • Provide customer support.

This license does not transfer ownership of your intellectual property to Dracos.


8. Product Accuracy

You must ensure that your product listing accurately describes the product.

Product descriptions should clearly communicate:

  • What the buyer receives;
  • Product format;
  • Number of files where relevant;
  • Contents;
  • Requirements;
  • License terms;
  • Compatibility;
  • Included updates where applicable;
  • Support arrangements where applicable;
  • Any material limitations.

You must not make misleading claims regarding the quality, origin, functionality, results, or ownership of a product.


9. Product Quality

Sellers are responsible for ensuring that their products are reasonably usable and correspond to their descriptions.

Products should not knowingly contain:

  • Corrupted files;
  • Unnecessary malicious code;
  • Hidden malware;
  • Unauthorized tracking mechanisms;
  • Stolen credentials;
  • Confidential information belonging to third parties;
  • Unlawfully obtained personal data.

Software and technical products may be subject to additional security review.


10. Copyrighted and Educational Materials

Dracos may allow sellers to offer educational materials such as:

  • Study guides;
  • Mock examinations;
  • Original question banks;
  • Solutions;
  • Tutorials;
  • Notes;
  • Educational ebooks.

However, sellers must not upload copyrighted material they do not have the right to distribute.

For example, you may not upload and sell:

  • Unauthorized copies of textbooks;
  • Pirated courses;
  • Paid ebooks copied from another publisher;
  • Examination papers where redistribution is prohibited;
  • Proprietary school materials without permission;
  • Copyrighted materials obtained from another website and repackaged for sale.

Being able to download material from the internet does not automatically give you the right to sell it.


11. Seller Rights Declaration

When submitting a product, Dracos may require you to confirm:

"I confirm that I own this content or have the necessary rights, permissions, or lawful authorization to distribute and sell it through Dracos."

Submitting a false declaration may result in product removal, suspension, termination, loss of seller privileges, or other appropriate action.


12. Prohibited Products

Sellers must not use Dracos to sell products involving:

  • Pirated content;
  • Stolen intellectual property;
  • Stolen databases;
  • Personal information obtained unlawfully;
  • Stolen credentials;
  • Malware;
  • Ransomware;
  • Spyware;
  • Credential stealers;
  • Fraud tools;
  • Phishing kits;
  • Products primarily intended to facilitate unauthorized access;
  • Counterfeit digital products;
  • Fraudulent documents;
  • Illegal services;
  • Content that violates applicable law;
  • Content that infringes third-party rights.

Dracos may maintain a separate prohibited-products list and update it when necessary.


13. Cybersecurity Products

Cybersecurity-related products may be permitted where they are legitimate educational, defensive, research, or professional resources.

However, sellers must not offer products primarily intended to facilitate:

  • Unauthorized access;
  • Credential theft;
  • Malware deployment;
  • Fraud;
  • Identity theft;
  • Data theft;
  • Unauthorized surveillance;
  • Other unlawful activity.

Dracos may review cybersecurity products more closely where appropriate.


14. Product Review and Approval

Dracos may review products before publication.

A review may consider:

  • Product quality;
  • Product description;
  • Intellectual property concerns;
  • Security risks;
  • Legal compliance;
  • Marketplace suitability;
  • Product category;
  • Seller history.

Approval does not guarantee that a product complies with every applicable law or third-party right.

Dracos may remove or restrict a previously approved product if concerns arise later.


15. Product Pricing

Sellers are responsible for setting product prices.

You must not manipulate pricing in a misleading manner.

Dracos may provide recommended pricing, promotional tools, discounts, or marketplace campaigns.

Where supported, sellers may participate in promotions subject to the applicable promotion terms.


16. Marketplace Commission

Dracos may retain a commission from each qualifying sale.

The applicable commission rate will be displayed through the seller dashboard or applicable commercial terms.

For example, if the marketplace commission is 15%:

Product price: 10,000 XAF
Marketplace commission: 1,500 XAF
Seller gross earnings: 8,500 XAF

Other applicable deductions, such as refunds or payment-related charges, may affect the final amount available to the seller.

Dracos may change commission rates for future transactions with appropriate notice.


17. Seller Earnings

Seller earnings may initially appear as pending.

Funds may remain pending while Dracos verifies:

  • Payment completion;
  • Fraud risk;
  • Refund risk;
  • Chargebacks;
  • Product delivery;
  • Account status;
  • Other transaction concerns.

Only amounts designated as available may be eligible for withdrawal.


18. Seller Wallet

Dracos may provide sellers with a digital wallet or earnings ledger.

The wallet may record:

  • Product sales;
  • Marketplace commissions;
  • Refunds;
  • Chargebacks;
  • Adjustments;
  • Withdrawals;
  • Promotional deductions;
  • Other relevant financial transactions.

The wallet is an internal accounting record of marketplace earnings and does not necessarily constitute a bank account or deposit account.


19. Withdrawal Requirements

Sellers may request withdrawals when they satisfy applicable requirements.

Requirements may include:

  • Minimum withdrawal amount;
  • Verified seller account;
  • Valid payout information;
  • Available balance;
  • No unresolved disputes;
  • No active fraud investigation.

Dracos may temporarily delay withdrawals where reasonably necessary to investigate suspicious transactions or comply with legal obligations.


20. Payout Processing

Seller payouts may be processed through third-party payment providers.

The availability of a particular payout method depends on the services supported by Dracos and its payment providers.

Payout processing times may vary.

Dracos is not responsible for delays caused by payment providers, financial institutions, telecommunications providers, or circumstances outside Dracos's reasonable control.


21. Refunds and Seller Earnings

When a buyer receives an approved refund, the associated seller earnings may be reversed.

The amount may be deducted from:

  • Available seller balance;
  • Pending earnings;
  • Future sales.

Where applicable, Dracos may also reverse marketplace commissions associated with refunded transactions.


22. Chargebacks

If a buyer initiates a payment chargeback, Dracos may temporarily hold the corresponding seller earnings while the matter is investigated.

If the chargeback is upheld, the corresponding amount may be deducted from the seller's wallet or future earnings.

Repeated chargebacks associated with a seller's products may result in additional review or seller restrictions.


23. Seller Responsibility for Refunds

Sellers must cooperate with legitimate refund investigations.

If a product is:

  • materially misrepresented;
  • defective;
  • incomplete;
  • inaccessible;
  • unlawfully distributed;
  • substantially different from its listing;

Dracos may provide an appropriate buyer remedy in accordance with the Refund Policy.

Where the issue is attributable to the seller, the resulting financial adjustment may be charged against the seller's earnings.


24. Customer Support

Sellers should provide reasonable support for their products where the listing indicates that support is included.

Support may involve:

  • Product access problems;
  • Basic usage questions;
  • Missing files;
  • Product updates;
  • Corrected versions.

Sellers are not required to provide services that were not included in the product listing unless required by applicable law.


25. Product Updates

If a seller advertises that updates are included, the seller should provide those updates in a reasonable manner.

Sellers should not advertise lifetime updates unless they genuinely intend to provide them for the advertised period.

If a seller permanently stops supporting a product, the listing should not continue to promise future updates unless that promise remains accurate.


26. Seller Reviews and Ratings

Sellers must not manipulate reviews or ratings.

Prohibited conduct includes:

  • Buying fake reviews;
  • Creating fake buyer accounts;
  • Asking friends to create false reviews;
  • Paying customers for positive reviews without appropriate disclosure;
  • Threatening customers over negative reviews;
  • Removing legitimate criticism through manipulation;
  • Posting reviews for your own products using another account.

Dracos may remove fraudulent reviews and take action against accounts involved in review manipulation.


27. Seller Marketing

Sellers may promote their Dracos products through legitimate channels.

Marketing must not:

  • Mislead customers;
  • Make false claims;
  • Impersonate Dracos;
  • Use spam;
  • Use stolen content;
  • Violate third-party rights;
  • Misrepresent discounts;
  • Circumvent Dracos fees through deceptive practices.

28. Off-Platform Transactions

Sellers must not intentionally direct Dracos buyers away from the platform for the purpose of:

  • Avoiding marketplace commissions;
  • Circumventing payment controls;
  • Avoiding platform security measures;
  • Avoiding applicable refund procedures;
  • Conducting fraudulent transactions.

Dracos may restrict accounts involved in systematic fee avoidance or marketplace circumvention.


29. Seller Data and Buyer Privacy

Sellers may receive limited buyer information necessary to provide marketplace services.

Sellers must:

  • Protect buyer information;
  • Use it only for legitimate purposes;
  • Not sell buyer information;
  • Not disclose it without appropriate authorization;
  • Not use buyer information for unrelated purposes;
  • Comply with applicable privacy laws.

Sellers must immediately notify Dracos of any suspected unauthorized access to buyer information obtained through the platform.


30. Taxes and Legal Compliance

Sellers are responsible for determining and complying with tax, business, licensing, consumer-protection, intellectual-property, and other legal obligations applicable to their activities.

Dracos does not provide tax or legal advice to sellers.

Where legally required, Dracos may collect, report, withhold, or provide information relating to transactions.


31. Seller Records

Sellers should maintain appropriate records relating to:

  • Product ownership;
  • Licenses;
  • Permissions;
  • Product versions;
  • Sales;
  • Business activities;
  • Applicable taxes.

Dracos may request evidence of ownership or authorization when reasonably necessary.


32. Copyright Complaints

If Dracos receives a credible copyright or intellectual-property complaint involving your product, we may:

  • Notify you;
  • Temporarily disable the product;
  • Request evidence of ownership or authorization;
  • Restrict access to the product;
  • Remove the product;
  • Hold related earnings;
  • Take other appropriate action.

You agree to cooperate with reasonable investigations.

Repeated or serious infringement may result in permanent seller termination.


33. Indemnification by Sellers

To the extent permitted by applicable law, sellers agree to indemnify and hold Dracos harmless from claims, losses, damages, liabilities, costs, and expenses arising from:

  • Seller Content;
  • Intellectual-property infringement;
  • Unlawful products;
  • Misleading product claims;
  • Seller violations of applicable law;
  • Seller violations of this Agreement;
  • Misuse of buyer information;
  • Fraudulent seller activity.

34. Seller Account Suspension

Dracos may suspend seller privileges where there is reasonable evidence of:

  • Fraud;
  • Copyright infringement;
  • Repeated customer complaints;
  • Prohibited products;
  • Misleading listings;
  • Payment abuse;
  • Review manipulation;
  • Security violations;
  • Marketplace circumvention;
  • Repeated policy violations.

Suspension may include:

  • Removing products;
  • Disabling new listings;
  • Disabling purchases;
  • Holding payouts;
  • Restricting withdrawals;
  • Restricting account functionality.

35. Seller Account Termination

Dracos may terminate a seller account for serious or repeated violations.

Examples include:

  • Selling pirated content;
  • Repeated intellectual-property infringement;
  • Fraud;
  • Money laundering;
  • Selling prohibited products;
  • Repeatedly misleading buyers;
  • Deliberate payment manipulation;
  • Serious security violations;
  • Repeated abuse of the refund system.

Where appropriate, Dracos may provide notice before termination.

Immediate action may be taken where necessary to protect buyers, sellers, the platform, payment systems, or third parties.


36. Funds Following Suspension or Termination

If an account is suspended or terminated, Dracos may temporarily hold seller earnings where reasonably necessary to address:

  • Pending refunds;
  • Chargebacks;
  • Fraud investigations;
  • Copyright disputes;
  • Customer claims;
  • Legal obligations.

Legitimate remaining funds may be released after applicable investigations and obligations have been resolved, subject to applicable law.


37. Seller Removal of Products

Sellers may request removal of their products from the marketplace.

Removing a product does not automatically:

  • Cancel completed purchases;
  • Eliminate existing buyer licenses;
  • Remove existing financial obligations;
  • Eliminate refund or chargeback obligations;
  • Eliminate legal responsibilities.

Where a buyer has already purchased a product, Dracos may continue to provide access where appropriate and technically possible.


38. Seller Confidentiality

Sellers must not disclose confidential Dracos information that is not publicly available.

This may include:

  • Internal platform information;
  • Non-public seller data;
  • Private customer information;
  • Security information;
  • Confidential commercial information.

39. Security Requirements

Sellers must not intentionally upload files designed to compromise Dracos or its users.

You must not attempt to:

  • Exploit Dracos;
  • Bypass access controls;
  • Manipulate payment systems;
  • Circumvent download protection;
  • Access another seller's information;
  • Access buyer information without authorization;
  • Upload malicious code.

Security violations may result in immediate suspension or termination.


40. Marketplace Promotions

Dracos may offer:

  • Coupons;
  • Discount campaigns;
  • Featured product placements;
  • Seller promotions;
  • Marketplace-wide sales;
  • Referral campaigns.

Participation may be subject to separate terms.

Dracos will communicate material promotion requirements to participating sellers.


41. Analytics and Seller Performance

Dracos may provide sellers with information such as:

  • Product views;
  • Sales;
  • Conversion information;
  • Download statistics;
  • Reviews;
  • Ratings;
  • Revenue;
  • Refund rates.

Performance information is provided to help sellers understand their marketplace activity.

Dracos may use aggregated or anonymized marketplace data to improve the platform.


42. No Guarantee of Sales

Dracos does not guarantee that a seller will:

  • Receive a particular number of sales;
  • Earn a particular amount;
  • Receive a particular number of visitors;
  • Achieve a specific ranking;
  • Maintain a particular product position.

Marketplace visibility may depend on factors including relevance, product quality, customer engagement, availability, reviews, and platform algorithms.


43. Changes to Seller Terms

Dracos may update this Seller Agreement when necessary.

Material changes may be communicated through:

  • Seller dashboard;
  • Email;
  • Platform notifications;
  • Other reasonable methods.

Changes will generally apply to future activities and transactions after the effective date unless otherwise required by law.


44. Relationship Between Seller and Dracos

Unless otherwise expressly agreed in writing:

  • Sellers are independent marketplace participants;
  • Sellers are not employees of Dracos;
  • Sellers are not agents of Dracos;
  • Sellers may not represent that they have authority to bind Dracos;
  • Seller participation does not create a partnership, joint venture, or employment relationship.

45. Marketplace Independence

Dracos does not guarantee that any particular buyer or seller will continue using the platform.

Dracos may modify, suspend, or discontinue marketplace features where reasonably necessary.


46. Limitation of Liability

To the maximum extent permitted by applicable law, Dracos will not be responsible for indirect, incidental, special, or consequential losses arising from seller participation in the marketplace.

This includes losses arising from:

  • Lost sales;
  • Lost anticipated profits;
  • Product popularity;
  • Marketplace ranking;
  • Third-party payment-provider failures;
  • Buyer misconduct;
  • Seller disputes with buyers;
  • Temporary platform downtime.

Nothing in this Agreement excludes liability that cannot legally be excluded.


47. Disputes

Sellers should first contact Dracos support regarding disputes involving:

  • Orders;
  • Refunds;
  • Payments;
  • Payouts;
  • Buyer complaints;
  • Product removal;
  • Account restrictions.

Dracos may investigate disputes using relevant marketplace records.

Nothing in this Agreement prevents a seller from exercising rights available under applicable law.


48. Electronic Acceptance

By selecting "Become a Seller", accepting seller status, uploading a product, publishing a product, or completing a seller transaction, you acknowledge that you have read, understood, and accepted this Seller Agreement.

Electronic acceptance may constitute a legally binding agreement to the extent permitted by applicable law.


49. Governing Law

This Agreement shall be governed by applicable law, including the laws of the Republic of Cameroon where applicable.

Nothing in this Agreement is intended to remove rights or protections that cannot lawfully be excluded.

Disputes that cannot be resolved amicably may be submitted to the competent authorities or courts having jurisdiction under applicable law.


50. Contact

For seller-related questions, disputes, payout issues, product concerns, copyright matters, or other seller inquiries, contact Dracos through the official contact information published on the platform.

Seller Acceptance Checklist

Before becoming a seller, you confirm that:

☐ I own the products I sell or have the necessary rights to distribute them.

☐ My products do not knowingly infringe third-party intellectual-property rights.

☐ I will not upload pirated or illegally obtained content.

☐ I will comply with Dracos's prohibited-product rules.

☐ I understand that refunds and chargebacks may reduce my seller earnings.

☐ I will provide accurate payout information.

☐ I will protect buyer information that I receive.

☐ I will cooperate with legitimate copyright, fraud, refund, and security investigations.

☐ I understand that Dracos may suspend or terminate my seller account for serious or repeated violations.

☐ I have read and agree to the Dracos Seller Agreement.
